Purpose: We are seeking a lawyer experienced in Philippine property law, business registration, family land matters, and immigration. The lawyer should be based in Naga City or maintain a regular practice in Camarines Sur. All legal matters flow through Aileen Mulkerrins as registered owner and CEO. Aidan Mulkerrins is her husband and co-director of operations, but is not yet a Philippine resident.

1. Enterprise Registration and Structure
1.1 Business Registration URGENT
Nana Bambi's Place requires formal registration and compliance across all relevant Philippine agencies:
- DTI / SEC — Business name registration or corporate filing as appropriate for the enterprise structure
- BIR — Tax identification, VAT/non-VAT registration, official receipts and invoicing compliance
- LGU Permits — Barangay clearance, Mayor's permit, sanitary permit, fire safety inspection for Ragay operations
- DA Registration — Department of Agriculture registration as an agricultural enterprise, relevant certifications for livestock, poultry, marine, and market operations
1.2 Succession and Trustee Designation
Designation of Brighde Mulkerrins as successor trustee for the enterprise. This covers succession planning, trustee responsibilities, and continuity of the business in the event that Aileen is unable to manage operations. Legal documentation of trustee powers and limitations is required.
2. Land and Property URGENT
Context: All land holdings are in the names of Filipino family members. Aidan Mulkerrins is not on any title and has no direct land ownership. All land arrangements are structured through Aileen and her family.
2.1 Hub Land — Inandawa / F. Simeon
- Aileen's parcel — Primary hub site in Inandawa, Ragay. Title verification, boundary survey, and tax declaration review required
- Deceased cousin's estate in Pugod — Estate settlement required. Parcel is intended for enterprise use (aquaponics / satellite operations). Legal clearance needed for use or transfer of the property
2.2 Shared Family Land
Multiple parcels are held in co-ownership with family members Arianne and Rojan. Legal review and formalisation of use agreements is required for:
- Gainza — Family land parcel
- Balatis — Family land parcel
- Pili block — Family land parcel
- Pugod — Shared parcel, overlapping with estate matter in 2.1
2.3 Construction Permits
Permits and compliance required for planned construction on hub and satellite sites:
- Manager's residence
- Hoop house / greenhouse structures
- Shipping container placement and conversion
- Aquaculture ponds
- DA water quality compliance for aquaculture operations
3. Immigration and Residency — Aidan Mulkerrins
3.1 Balikbayan Privilege
Aidan is the spouse of a Filipino citizen (Aileen) and is entitled to the Balikbayan privilege — a 12-month visa-free stay in the Philippines. Confirmation of current status, documentation requirements, and renewal process needed.
3.2 13A Permanent Resident Visa
Application for the 13(a) Permanent Resident Visa as spouse of a Philippine citizen. Requirements include:
- PSA-authenticated marriage certificate
- NBI and police clearances (Philippine and Australian)
- Medical examination
- Petition filing at the Bureau of Immigration
- Timeline planning and interim status management
3.3 Australian Tax Residency Cessation
Aidan is in the process of selling all Australian assets and ceasing Australian tax residency. Legal advice is needed on the Philippine implications of this transition, including:
- Philippine tax obligations upon becoming a resident
- Transfer of funds and assets to the Philippines
- Any bilateral tax treaty considerations between Australia and the Philippines
4. Fleet and Finance
The enterprise is acquiring a vehicle fleet through Isuzu Naga. Key legal considerations:
- Aileen as borrowing entity — All vehicle financing is in Aileen's name as registered owner of the enterprise
- LTFRB requirements — Franchise and operating permits for any vehicles used in commercial delivery or transport
- LTO registration — Proper registration, insurance, and compliance for all fleet vehicles
5. Ongoing Retainer Requirements
We require ongoing legal support across the following areas:
- Employment contracts — Compliant contracts for all staff across the 12 spokes of the enterprise
- Supplier agreements — Contracts with feed suppliers, equipment vendors, and service providers
- Customer contracts — Terms of sale, delivery agreements, and wholesale arrangements
- Land acquisitions — Legal review and due diligence for any future land purchases or lease agreements
- DA / LGU compliance — Ongoing regulatory compliance with the Department of Agriculture and Local Government Units
